Certain Additional Information Regarding the Opinion
The financial
opinion obtained by TFG’s Board of Directors (i) was provided
solely for the use and benefit of TFG’s Board of Directors
(solely in its capacity as such) in connection with its evaluation
of whether the TFG Consideration to be received in the TFG
Transaction pursuant to the Agreement was fair, from a financial
point of view, to TFG after giving effect to the TFG Transaction
and the Polygon Transaction and did not address any other aspect or
implication of the TFG Transaction or any related transactions,
(ii) does not address the underlying business decision of TFG to
engage in the TFG Transaction or any related transactions or the
relative merits of the TFG Transaction or any related transactions
as compared to any alternative transactions or business strategies
that might be available to TFG, (iii) does not constitute a
recommendation to any person with respect to any investment
decision or otherwise and (iv) has not and will not be updated,
revised or reaffirmed, and does not and will not reflect events
occurring, or information made available, after the date of the
opinion (including, without limitation, the definitive
documentation for the TFG Transaction).
